Terms of Service

1. Introduction and Definitions
This Terms of Service Agreement ("Agreement") is entered into between app-factory.dev Limited, a company incorporated in England and Wales ("DeskHop", "Provider", "we", "us", "our") and any individual or entity accessing or using our services ("User", "you", "your").
"Platform" means the DeskHop software application and website for booking and listing workspace.
"Host" means any User who lists workspace on the Platform.
"Guest" means any User who books workspace through the Platform.
"Listing" means any workspace advertised on the Platform by a Host.
"Booking" means a confirmed reservation of workspace made through the Platform.
2. Platform Role
2.1 Marketplace Operator:
DeskHop operates as a marketplace platform connecting Hosts with Guests. We are not a party to any agreement entered into between Hosts and Guests and are not responsible for the conduct of any User.
2.2 No Agency:
DeskHop is not an agent for any Host or Guest. We do not own, operate, or manage any workspace listed on the Platform.
2.3 Verification:
While we may verify certain information provided by Users, we make no representations or warranties as to the accuracy, completeness, or reliability of any User information or Listing details.
3. User Accounts
3.1 Account Creation:
You must create an account to use the Platform. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
3.2 Account Security:
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorised use.
3.3 Eligibility:
You must be at least 18 years old and have the legal capacity to enter into binding contracts. If you are using the Platform on behalf of a business, you represent that you have authority to bind that business.
4. Host Terms
4.1 Listing Accuracy:
Hosts must provide accurate and complete information about their workspace, including availability, amenities, house rules, and any restrictions. You are responsible for keeping Listing information up to date.
4.2 Legal Compliance:
Hosts warrant that their workspace complies with all applicable laws, regulations, building codes, health and safety requirements, and insurance obligations. This includes any requirements related to commercial use of premises.
4.3 Lease and Ownership:
Hosts warrant that they have the legal right to offer their workspace for booking, including any necessary permissions from landlords, building management, or other relevant parties.
4.4 Insurance:
Hosts are responsible for maintaining appropriate insurance coverage for their workspace and any activities conducted therein.
4.5 Booking Commitments:
Hosts must honour confirmed Bookings. Cancellations by Hosts may result in penalties, reduced visibility on the Platform, or account suspension.
5. Guest Terms
5.1 Appropriate Use:
Guests must use booked workspace only for lawful purposes and in accordance with the Host's stated rules and any applicable laws.
5.2 Respect for Property:
Guests must treat workspace and equipment with reasonable care and respect. Guests are responsible for any damage caused during their Booking.
5.3 Booking Commitments:
Guests must honour confirmed Bookings. Cancellations are subject to the Host's stated cancellation policy.
5.4 Check-in and Check-out:
Guests must arrive and depart at the agreed times. Extended stays without Host approval may result in additional charges.
6. Payments and Fees
6.1 Pricing:
Hosts set their own prices for workspace. All prices displayed include any applicable platform fees but exclude VAT unless otherwise stated.
6.2 Service Fees:
DeskHop charges service fees to Hosts and/or Guests. Current fee structures are displayed during the booking process and may be updated from time to time.
6.3 Payment Processing:
Payments are processed through our third-party payment providers. By using the Platform, you agree to the terms of our payment providers.
6.4 Host Payouts:
Host payments are typically processed within 24 hours after a Booking is completed. Payout timing may vary based on your payment method.
6.5 Refunds:
Refunds are subject to the Host's cancellation policy. In cases of Host cancellation or significant discrepancies between Listing and actual workspace, Guests may be eligible for a full refund.
7. Cancellations
7.1 Guest Cancellations:
Guest cancellation refunds are determined by the Host's stated cancellation policy. Service fees may be non-refundable.
7.2 Host Cancellations:
If a Host cancels a confirmed Booking, the Guest will receive a full refund. Hosts who cancel may face penalties including reduced search ranking or account suspension.
7.3 Force Majeure:
In cases of circumstances beyond reasonable control (natural disasters, government actions, etc.), we may waive cancellation penalties at our discretion.
8. Reviews and Feedback
8.1 Review System:
Both Hosts and Guests may leave reviews after a completed Booking. Reviews must be honest, fair, and based on actual experience.
8.2 Prohibited Content:
Reviews must not contain defamatory, discriminatory, or false statements. We reserve the right to remove reviews that violate our guidelines.
9. Prohibited Activities
Users must not:
- Use the Platform for any unlawful purpose
- Provide false or misleading information
- Circumvent the Platform to avoid fees
- Discriminate against other Users
- Harass, threaten, or harm other Users
- Use another User's account without permission
- Interfere with the Platform's operation
- Use the Platform to distribute malware or spam
10. Intellectual Property
10.1 Platform IP:
All intellectual property rights in the Platform remain our property. You receive only a limited, non-exclusive licence to use the Platform.
10.2 User Content:
By uploading content to the Platform (photos, descriptions, etc.), you grant us a non-exclusive, worldwide licence to use, display, and distribute that content in connection with the Platform.
11. Limitation of Liability
11.1 Platform Provided "As Is":
The Platform is provided "as is" without warranties of any kind. We do not warrant that the Platform will be error-free or uninterrupted.
11.2 User Interactions:
We are not responsible for the actions, omissions, or conduct of any Host, Guest, or third party. Users interact with each other at their own risk.
11.3 Liability Cap:
Our total liability to you for any claims arising from this Agreement shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
11.4 Excluded Damages:
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
11.5 Exceptions:
Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded by law.
12. Indemnification
You agree to indemnify and hold harmless DeskHop, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Platform, your violation of this Agreement, or your violation of any rights of third parties.
13. Dispute Resolution
13.1 Between Users:
We encourage Hosts and Guests to resolve disputes directly. We may, at our discretion, mediate disputes but are not obligated to do so.
13.2 Governing Law:
This Agreement is governed by the laws of England and Wales.
13.3 Jurisdiction:
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Termination
14.1 Termination by User:
You may close your account at any time. Outstanding Bookings and payments must be honoured.
14.2 Termination by DeskHop:
We may suspend or terminate your account for violation of this Agreement, fraud, or any conduct we deem harmful to the Platform or other Users.
14.3 Effect of Termination:
Upon termination, your right to use the Platform ceases. Provisions relating to intellectual property, limitation of liability, and dispute resolution survive termination.
15. Consumer Rights
If you are a consumer, you have statutory rights under UK consumer protection laws that cannot be excluded. This Agreement does not affect those rights.
For information about your statutory rights, contact your local Trading Standards office or Citizens Advice Bureau.
16. Changes to This Agreement
We may update this Agreement from time to time. We will notify you of material changes by email or through platform notifications. Continued use of the Platform after such changes constitutes your acceptance of the updated Agreement.
